These Terms and Conditions (“Terms”) form an agreement between PoshAI (“PoshAI,” “we,” or “us”) and the person or organization using our services (“Customer,” “you,” or “your”). By creating an account, purchasing a subscription, or using the service, you agree to these Terms. If you use the service for an organization, you confirm that you can bind that organization.
1. The service
PoshAI provides AI-assisted telephone reception, call routing, transcription, summarization, scheduling, messaging, and related integrations. AI-generated responses may be incomplete or incorrect. You are responsible for reviewing configurations and outputs and for maintaining appropriate human oversight, especially for urgent, regulated, or high-impact matters.
2. Eligibility and accounts
You must be at least 18 and legally able to enter a contract. You must provide accurate account information, protect login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for your users’ compliance with these Terms.
3. Customer responsibilities
You are responsible for your business content, instructions, caller notices, and use of call data. You must have all necessary rights and permissions for information you provide and integrations you connect. You must comply with telecommunications, privacy, call recording, marketing, employment, healthcare, consumer protection, and other laws applicable to your use. You may not present the service as a human when disclosure is required by law.
4. Prohibited and high-risk use
You may not use the service to violate law, deceive or harm people, make unlawful automated calls, facilitate emergencies without a reliable human path, or make final decisions about eligibility for credit, employment, housing, insurance, medical treatment, or legal services without qualified human review. Additional restrictions appear in our Acceptable Use Policy.
5. Fees, taxes, and renewal
Prices, included usage, and overage charges are shown at purchase or in an order form. Subscription fees are charged in advance and usage fees may be charged in arrears. Prices are in the displayed currency and exclude applicable taxes unless stated otherwise. Subscriptions renew automatically for the same period until canceled. You authorize our payment provider to charge your payment method for recurring fees, usage, taxes, and other disclosed charges.
6. Cancellation and refunds
You may cancel future renewal by contacting support@poshai.com. Cancellation takes effect at the end of the paid billing period unless stated otherwise. Refund eligibility is described in our Refund Policy. Canceling does not erase charges already incurred, including usage charges.
7. Customer content and data
You retain ownership of content you provide. You grant us a limited right to host, process, transmit, and display that content only as needed to provide, secure, support, and improve the service. We handle personal information as described in our Privacy Policy and any applicable data processing agreement.
8. Our intellectual property
The service, website, software, designs, documentation, and related technology are owned by PoshAI or its licensors. Except for the limited right to use the service during your subscription, no rights are transferred to you. Feedback may be used by us without restriction or payment, provided we do not publicly identify you without permission.
9. Third-party services
The service may interoperate with telecommunications carriers, calendars, customer systems, payment providers, and AI or hosting services. Third-party services are governed by their own terms, and we are not responsible for their availability, changes, or conduct. You authorize us to exchange information with services you choose to connect.
10. Availability and changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Calls may fail due to carriers, internet connectivity, integrations, or other factors outside our control. We may change features to improve security, performance, or compliance. Material reductions to paid functionality will be communicated when reasonably possible.
11. Suspension and termination
We may suspend access when reasonably necessary to prevent harm, address non-payment, respond to legal requirements, or investigate a violation. Either party may terminate for a material breach that remains uncured after reasonable notice. On termination, your right to use the service ends. Provisions that by nature should survive—including payment, intellectual property, disclaimers, and liability limits—will survive.
12. Disclaimers
To the maximum extent allowed by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that AI output will be accurate. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
13. Limitation of liability
To the maximum extent allowed by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data. PoshAI’s total liability arising from the service will not exceed the fees you paid to PoshAI for the service during the six months before the event giving rise to the claim. These limits do not apply where prohibited by law.
14. Indemnity
You will defend and indemnify PoshAI from third-party claims arising from your content, your unlawful or unauthorized use, or your violation of these Terms, except to the extent caused by our breach or misconduct.
15. General terms
You may not assign these Terms without our consent, except in connection with a merger or sale of substantially all assets. We may assign them as part of a reorganization or sale. Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. These Terms, the order at purchase, and referenced policies are the entire agreement for the service.
16. Changes and contact
We may update these Terms. Material changes will apply prospectively, and continued use after their effective date constitutes acceptance where permitted by law. Questions may be sent to support@poshai.com.
